LACE ADVENT CALENDAR SWEEPSTAKES OFFICIAL RULES (“OFFICIAL RULES”)

1. NO PURCHASE NECESSARY. A PURCHASE WILL NOT IMPROVE YOUR CHANCE OF WINNING.
2. PLEASE READ THESE OFFICIAL RULES CAREFULLY BEFORE ENTERING THE LACE ADVENT CALENDAR SWEEPSTAKES (“SWEEPSTAKES”). BY ENTERING OR OTHERWISE PARTICIPATING IN THE SWEEPSTAKES, EACH ENTRANT (“ENTRANT”, “YOU”, “YOUR” OR, AS APPLICABLE, “WINNER”) AGREES TO THESE OFFICIAL RULES, WHICH CREATE A CONTRACT.
3. HOW TO ENTER: Beginning on December 8, 2025 at 12:00 a.m. Pacific Standard Time (“PST”) and continuing daily through December 12, 2025 at 11:59 p.m. PST, you can enter each daily Sweepstakes drawing in either of the following ways:

Each daily Sweepstakes is a separate promotion with its own entry period and prize. You may enter each daily Sweepstakes once using either entry method. Limit one entry per person per day. Multiple entries, use of automated entry methods, or attempts to circumvent these rules will result in disqualification. You may not enter more than once per day using multiple X accounts, email addresses, identities or devices.

1. ELIGIBILITY: Open to individuals who are 18 years of age or older as of December 8, 2025 and who are legal residents of the United States, United Kingdom, European Union, Australia or Canada (excluding Quebec). The following are NOT eligible to participate in the Sweepstakes or receive any prizes: (a) individuals or entities located in any jurisdiction that is the subject of any sanctions administered or enforced by the U.S. Department of Treasury’s Office of Foreign Assets Control, the United Nations Security Council, the European Union, His Majesty’s Treasury’s Office of Financial Sanctions Implementation or other relevant sanctions authority; (b) residents or citizens of Singapore or Argentina; or (c) officers, directors and employees of IOG Singapore Pte. Ltd. (“Sponsor”) and its parent, subsidiaries, affiliates, advertising and promotion agencies (all such individuals and entities referred to in this sentence collectively, the “Promotion Entities”), and each of their immediate family members and/or people living in the same household. Void where prohibited. By entering, you confirm you meet these requirements and will comply with all applicable laws.
2. DRAWING: For each daily Sweepstakes, a random drawing will be conducted on or about 11:59 p.m. PST on the same day by Sponsor to select the winner from among all eligible entries received for that day’s Sweepstakes. Odds of winning depend on the number of entries received for each daily drawing. Potential winners will be contacted via X direct message and/or the email address associated with their entry and must be verified by Sponsor by providing all information and documentation requested by Sponsor (which may include identity verification, shipping address, and/or digital wallet address), within ten calendar days of the date notice is sent. Failure to respond within the applicable time period will result in forfeiture of the prize and Sponsor will have the option to award the prize to an alternate winner. The return of any prize notification or prize as undeliverable may result in disqualification and an alternate winner may be selected. All income taxes resulting from acceptance of the prize are the responsibility of the winners. Winners must claim all prizes by December 18, 2025. Unclaimed prizes will be forfeited.
3. PRIZES: 25 prizes will be awarded via daily random drawings (one prize per day from December 8–12, 2025), including: Ledger Flex hardware wallet (approximate retail value: $229 each), Lace apparel and accessories (approximate retail value: $15–$30 each) and NFT Print Labs print (approximate retail value: $150 each). See daily social posts for specific prize details. Total approximate retail value: $5004.00. Limit one prize per person throughout the entire Sweepstakes Period (December 8–12, 2025). No substitution or transfer of prizes is permitted by winners. Sponsor reserves the right to substitute a prize of equal or greater value. If a potential winner is disqualified for any reason, Sponsor will award the applicable prize to an alternate winner by random drawing from among all remaining eligible entries for that day. Only three alternate drawings per daily prize will be held, after which the prize will remain unawarded. The Promotion Entities disclaim all warranties, express or implied, concerning any prize furnished in connection with the Sweepstakes.
4. DIGITAL ASSETS AND NFT DISCLAIMER: Certain prizes may include or relate to digital assets, NFTs (non-fungible tokens) or cryptocurrency wallets. You acknowledge and agree that digital assets and NFTs involve unique risks including technological complexity, market volatility and potential loss of access. You are solely responsible for: (a) understanding how to use, store and secure any digital assets or NFTs; (b) maintaining access to any wallets or accounts; (c) any transaction fees, gas fees or other costs associated with digital assets; and (d) compliance with any tax obligations related to digital assets. Sponsor is not responsible for: (i) your inability to access, use or secure digital assets or wallets; (ii) fluctuations in value of any digital assets; (iii) technical issues with blockchain networks; or (iv) your failure to understand or properly use digital asset technology. If you are unfamiliar with digital assets or NFTs, you should educate yourself before accepting such prizes or decline the prize.
5. LIMITATION OF LIABILITY: By entering the Sweepstakes, you waive all rights to, and hold the Promotion Entities harmless from, any claim, liability, loss, damage (including punitive, incidental and consequential damages) or expense (including attorneys’ fees) arising out of or in connection with participation in the Sweepstakes or the acceptance, use or misuse of any prize. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. Sponsor is not responsible for: lost, late or misdirected entries; technical failures; human error; or errors in Sweepstakes administration. If, in Sponsor’s opinion, there is any error, suspected tampering or if technical difficulties compromise the integrity of the Sweepstakes, Sponsor reserves the right to cancel or modify the Sweepstakes. In the event of termination, winners will be selected from among all eligible entries received as of the date of termination. In the event a dispute arises as to the identity of a potentially winning entrant, entries will be declared made by the name on the entry form.
6. PUBLICITY: Except where prohibited or restricted by law, your participation in the Sweepstakes and, if applicable, your acceptance of any prize constitutes your agreement, permission and consent for the Promotion Entities and their designees to use and modify your entry, name, X handle and other biographical information worldwide for marketing and promotional purposes in all forms of media, now known or hereafter devised, without further limitation, restriction, compensation, notice, review or approval.
7. SOCIAL MEDIA DISCLAIMER: The Sweepstakes is not sponsored, endorsed, administered by or associated with X (formerly known as Twitter). You understand that you are providing information to Sponsor and not to X. Sponsor is not responsible for the practices, terms or actions of X.
8. CHOICE OF LAW AND FORUM: All matters arising out of or relating to the Sweepstakes and these Official Rules are governed by, and construed in accordance with, the laws of New York without giving effect to any of its conflict of laws provisions. Any legal suit, action or proceeding arising out of or relating to the Sweepstakes and these Official Rules will be brought exclusively in the applicable federal or state courts located in New York, New York.
9. PRIVACY: Your participation in the Sweepstakes is governed by Sponsor’s Privacy Policy (available at https://static.iohk.io/terms/IOHK-privacy-policy.pdf) and related terms and conditions. To participate in the Sweepstakes and/or receive prizes, entrants and winners will be required to supply certain information, which will be used by Sponsor to administer the Sweepstakes and may be shared with its affiliates, subsidiaries, advertising, promotion and fulfillment agencies, legal advisors and service providers in accordance with Sponsor’s Privacy Policy.
