Midnight Network Third-Party Notice

1. Nature of Service

Lace is a non-custodial technical interface that allows users to interact with multiple blockchain protocols, including the Midnight Network. As specified in Section 5 of the Lace Terms of Use, the Midnight Network is a Third-Party Service.

2. Independent Counterparty

The Midnight Network and the NIGHT token are provided and governed exclusively by Midnight TGE Ltd., a British Virgin Islands limited company and Midnight Foundation, a Cayman Islands company (collectively, ”Midnight”).

  • No Agency: Input Output Global, Inc. and its affiliates and subsidiaries (collectively, ”IOG”) are not agents, partners or joint venturers with Midnight.
  • No Control: IOG does not own, control or operate the Midnight Network and has no ability to reverse, modify or freeze transactions involving NIGHT tokens.

2. Governing Terms

  • Midnight Governance: By interacting with the Midnight Network via the Lace interface, you acknowledge that your relationship is governed by the Midnight Global Terms. These terms are an agreement between you and Midnight TGE Ltd.; IOG is not a party to those terms.
  • Lace Governance: Your use of the Lace interface, including the display of any Midnight-related data or tokens, is governed exclusively by the Lace Terms of Use. If there is a conflict between the Midnight Global Terms and the Lace Terms of Use regarding your use of Lace (including, without limitation, IOG’s liability), the Lace Terms of Use shall prevail.
  • No Modification: Nothing in this Notice or the Midnight Global Terms does or will be deemed to modify, waive or supersede the Lace Terms of Use.

Integrity and Verification

For the benefit of NIGHT users, Lace surfaces authoritative references to the Midnight Global Terms as recorded on-chain:

  • Authoritative URL: https://www.midnight.gd/global-terms-txt
  • On-Chain Hash: Users may optionally verify the integrity of the target Terms by comparing the document against the hash reference provided within the Lace interface.

Disclaimer of Liability

IOG provides the Lace interface to the Midnight Network on an ”AS IS” and ”AS AVAILABLE” basis. To the maximum extent permitted by law and without limiting the Lace Terms of Use in any way:

  • No Responsibility: IOG assumes no responsibility for the functionality, security or regulatory status of the Midnight Network or NIGHT tokens.
  • Liability Cap: Any issues related to the use of Lace as an interface remain subject to the liability cap in the Lace Terms of Use.
